CVC Capital Partners Acquires Majority Stake in DistroKid for $2B Valuation

The music distribution sector faces a major shift as CVC Capital Partners signs a definitive agreement to acquire a majority stake in DistroKid, the indie platform that distributes roughly 40% of all new music globally. This transaction, valued at approximately $2 billion based on prior market discussions, directly impacts labels, publishers, and the 4 million independent artists who rely on DistroKid’s audio and video distribution services. The deal ensures continuity for rights holders and songwriters by retaining DistroKid President Phil Bauer and the existing leadership team, while longtime investor Insight Partners keeps a significant minority stake.

Strategic Investment for Independent Musicians

CVC Capital Partners will execute this majority investment through its CVC Capital Partners IX fund, with the transaction expected to close in the third quarter of 2026. The private markets firm views DistroKid not just as a distributor but as a comprehensive toolset for independent creators, offering instant mastering, direct-to-fan experiences, and on-demand merchandise alongside core distribution. This expansion of capabilities strengthens the infrastructure for Black music and urban radio professionals who need reliable, scalable channels to release content. Goldman Sachs and The Raine Group served as financial advisors to DistroKid, while Morgan Stanley advised CVC on the deal.

Continuity in Leadership and Operations

Despite the change in ownership, DistroKid’s operational structure remains stable to protect the flow of music to streaming platforms and radio stations. Phil Bauer will continue to lead the company as President, ensuring that the 45 million songs processed to date continue reaching their destinations without disruption. The agreement was announced on Monday, July 6, confirming that the platform’s growth trajectory from its 2013 founding will persist under CVC’s capital backing. This stability is critical for publishers and rights holders managing complex royalty streams across a platform that serves bedroom musicians and international stars alike.
